Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Portfolio Command Center ("PCC," "we," "us," or "our"), the operator of the Portfolio Command Center application and website at portfoliocommandcenter.net (the "Service"). By creating an account, accepting an invitation, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements.

3. The Service; Invitation-Only Access

PCC is an informational and educational tool for organizing, analyzing, and modeling investment portfolios — including scoring, risk and health analytics, screeners, an AI-generated "Take," and a paper-trading (simulated, non-real-money) engine. The Service is currently offered on an invitation-only basis. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use, subject to these Terms.

4. NOT Investment or Financial Advice

This is the most important term. PCC is provided for informational and educational purposes only. Nothing on or produced by the Service — including the BPS, risk, and health scores, signals, screeners, the AI "Take," analytics, narratives, and the paper-trading simulator — constitutes investment, financial, legal, tax, or other professional advice, or a recommendation, offer, or solicitation to buy, sell, or hold any security or asset. Using the Service does not create any advisory, brokerage, or fiduciary relationship between you and PCC. Market and other data may be inaccurate, incomplete, or delayed and is provided "as is." Past performance and modeled, simulated, or hypothetical results do not guarantee or predict future results. You are solely responsible for your own financial decisions and should consult a licensed financial advisor before acting. You agree that PCC is not liable for any loss arising from your use of, or reliance on, the Service.

5. Your Account

You are responsible for the accuracy of the information you provide and for maintaining the confidentiality and security of your account and login. You are responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

6. Your Content

The Service lets you create private content such as watchlists, notes, and portfolios ("Your Content"). You retain ownership of Your Content and are solely responsible for it. You grant us a limited license to store, process, and display Your Content solely to operate and provide the Service to you. Your Content is private to your account and is not publicly shared by us.

7. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or in violation of these Terms; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) probe, scan, scrape, overload, or disrupt the Service or its infrastructure; (d) reverse engineer or copy the Service except as permitted by law; (e) resell, redistribute, or use the Service or its data to build a competing product; or (f) misrepresent your identity or your right to use the Service.

8. Third-Party Data and AI Features

The Service incorporates third-party market data and public filings, which may be delayed, inaccurate, or unavailable, and are subject to their providers' terms. Certain optional AI-assisted features analyze information you provide together with public data; these models are self-hosted by us, and Your Content is not shared with any third-party AI provider. AI outputs may be incomplete or wrong and are informational only (see Section 4).

9. Beta Service; Availability

The Service is provided on an "as is" and "as available" basis and may be changed, suspended, or discontinued at any time without notice. We do not guarantee any level of availability, uptime, or data retention, and features may be added or removed. You should keep your own records and not rely on the Service as a system of record.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data or output will be accurate or reliable.

11. Limitation of Liability

To the fullest extent permitted by law, PCC and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or investment losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility. Our total aggregate liability for any claim relating to the Service will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless PCC and its operator from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, or your violation of these Terms or of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Sections that by their nature should survive termination (including 4, 6, 10–14, and 17) will survive.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. Any unresolved dispute will be resolved by binding arbitration on an individual basis in Florida, and you and PCC waive any right to a jury trial or to participate in a class action, to the extent permitted by law. Notwithstanding the above, either party may bring an individual claim in small-claims court.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance.

16. Electronic Communications

By using the Service, you consent to receive communications from us electronically — including account, security, transactional, and (where you have opted in) product or newsletter emails — and you agree that electronic communications satisfy any legal requirement that such communications be in writing. You may opt out of non-essential emails at any time via the unsubscribe link or your settings.

17. General

These Terms and the Privacy Policy are the entire agreement between you and PCC regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full effect and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any right or provision is not a waiver of it. You may not assign or transfer these Terms without our consent; we may assign them freely (for example, in connection with a merger or sale). These Terms create no third-party beneficiaries. Neither party is liable for failure or delay caused by events beyond its reasonable control. Headings are for convenience only.
